1. Application and acceptance
These Terms apply between Nowly Inc. (the “Operator”) and every person using the Service. By registering an account or using the Service, you agree to these Terms and the Privacy Policy.
Product-specific rules, notices, and guidelines displayed in the Service form part of these Terms. Product-specific terms control if they conflict with these Terms.
2. Accounts
- You must provide accurate, current information and protect your authentication credentials.
- You may not lend, transfer, share, or pledge your account.
- Except where caused by the Operator’s intent or gross negligence, activity through your account is treated as your activity.
- The Operator may request identity verification, usage confirmation, additional information, or a change to your authentication method.
3. Nature of the Service
The Service assists with store discovery, route planning, visits, check-ins, sourcing decisions, and estimated profit. You remain responsible for purchases, sales, pricing, travel, and legal decisions.
Store details, inventory, opening hours, routes, travel times, market prices, fees, shipping costs, and profit estimates are reference information only. The Operator does not guarantee their accuracy, freshness, completeness, or profitability.
4. Prohibited conduct
- Violating laws, public policy, store rules, or third-party rights
- Submitting false information, unauthorized access, misuse of credentials, excessive load, or interference
- Unauthorized copying, resale, redistribution, scraping, analysis, or reverse engineering of the Service or its data
- Impersonation, harassment, fraud, money laundering, or other abusive conduct
- Sourcing or selling in violation of secondhand-dealer, intellectual-property, tax, import, export, or other applicable laws
- Any conduct the Operator reasonably determines is unsafe, inappropriate, or disruptive to the Service
5. Investigation and enforcement
To operate and secure the Service, prevent abuse, provide support, comply with law, and protect rights, the Operator may review usage, activity logs, registration information, and stored content as permitted by law and the Privacy Policy.
If the Operator reasonably suspects a violation, it may without prior notice restrict features, hide, correct, or delete data, block access, suspend or terminate accounts, report activity to authorities, or take other necessary action. Where no urgency exists, the Operator will reasonably endeavor to explain the reason or available response.
6. User data and license
You represent that you have the rights required for text, images, sourcing records, and other data you submit and that the data does not violate third-party rights.
You grant the Operator the rights needed to store, copy, transform, transmit, and display your data to provide, maintain, back up, secure, troubleshoot, and improve the Service. The Operator may use statistics that do not identify individuals for analytics, product improvement, and business purposes.
7. Changes to features, pricing, and conditions
The Operator may add, change, or discontinue features, specifications, supported environments, usage limits, pricing, plans, integrations, and service conditions for business, technical, legal, or security reasons.
The Operator will provide reasonable advance notice of materially adverse changes when practicable. Advance notice may not be possible for urgent security or legal action or changes imposed by external providers.
8. Suspension and termination
The Operator may suspend or end all or part of the Service for maintenance, failures, disasters, communications outages, external-service interruptions, security, legal or regulatory action, or business reasons.
The Operator will endeavor to give reasonable notice before ending the Service. You are responsible for exporting data you need. Except where required by law, permanent storage and restoration are not guaranteed.
9. External services
Maps, routes, authentication, email, payments, cloud infrastructure, and other external services are governed by their providers’ terms and privacy policies. The Operator does not guarantee their content, continuity, or availability.
10. Intellectual property
Rights in the Service, software, interfaces, logos, databases, and Operator-provided content belong to the Operator or their lawful owners. These Terms grant only the right to use the Service as expressly stated.
11. Disclaimer of warranties
The Operator does not warrant that the Service will meet a particular purpose, produce expected profits, remain continuously available or secure, display complete and accurate information, or prevent data loss.
You remain responsible for store visits, travel, purchases, sales, licensing, taxes, and rights clearance.
12. Limitation of liability
Where the Operator is liable, and except for intent or gross negligence, liability is limited to ordinary and direct damages and will not exceed the fees you actually paid for the Service during the preceding twelve months.
This and every other limitation applies only to the extent permitted by mandatory law, including applicable consumer-protection law.
13. Your responsibility
If your violation of these Terms, applicable law, or third-party rights causes loss to the Operator or another party, you must resolve the matter at your expense and compensate the Operator for reasonable resulting losses and costs.
14. Changes to these Terms
The Operator may change these Terms in accordance with applicable law. The changes and effective date will be announced through the Service, email, or another reasonable method. Material changes will receive a reasonable notice period. Continued use after the effective date is subject to the revised Terms.
15. Governing law, venue, and contact
These Terms are governed by the laws of Japan. To the extent permitted by law, the Tokyo District Court has exclusive jurisdiction in the first instance over disputes related to the Service.
